Terms of Use

These Terms govern your use of Vidmo, operated by Currier Media Inc. from British Columbia, Canada. They explain how credits work, what you own, what you may not do, and how we handle billing and disputes. Please read section 5 on ownership and section 13 on liability closely.

1.Who we are and what this covers

Vidmo (the "Service") is operated by Currier Media Inc. ("Currier Media", "we", "us"), a company incorporated in British Columbia, Canada, with its registered office at 2535 Lomond Way 2145, Garibaldi Highlands, British Columbia, Canada.

These Terms of Use (the "Terms") form a binding agreement between you and Currier Media governing your access to and use of vidmo.ai, the Vidmo application, and any related services. By creating an account or using the Service you accept these Terms. If you do not accept them, do not use the Service.

If you use the Service on behalf of an organization, you confirm you have authority to bind that organization, and "you" refers to that organization.

Our Privacy Policy explains how we handle personal information and forms part of these Terms.

2.Eligibility and registration

You must be at least 13 years old to use the Service. If you are under the age of majority in your province, territory, or country, you may only use the Service with the involvement of a parent or legal guardian who agrees to these Terms on your behalf.

You agree to provide accurate registration information and to keep it current. You are responsible for all activity under your account and for keeping your credentials secure. Tell us promptly at security@vidmo.ai if you believe your account has been compromised.

One person or organization may not maintain multiple accounts to obtain additional free credits or to evade a suspension.

3.The Service and the models behind it

Vidmo lets you generate images and video from text prompts and reference material. Generation is performed by third-party artificial intelligence models, which currently include models operated by Google, ByteDance, and Kuaishou, accessed through service providers including Kie.ai and LaoZhang.

This means two things you should understand before relying on the Service. First, model availability, quality, speed, and behaviour are outside our control and may change without notice. Second, those providers apply their own content policies in addition to ours, and may refuse or filter a request for reasons we cannot override.

We may add, change, or withdraw models and features at any time. Where a change materially reduces what a paid plan offers, we will give you reasonable notice and you may cancel under section 8.

4.Credits

The Service runs on credits. Credits are a prepaid entitlement to generation capacity. They are not currency, not a stored-value or gift card product, hold no cash value, and cannot be redeemed for cash, transferred, or sold.

How credits are consumed

  • Credits are held when you submit a generation, not when it completes.
  • If a generation fails, the credits held for it are returned to your balance automatically.
  • If a generation produces fewer outputs than you paid for, the difference is refunded automatically.
  • The credit cost of each model is shown in the application before you generate, and on our pricing page.

Expiry

  • Credits included with a subscription reset at the start of each billing period and do not roll over.
  • Credits purchased as a top-up pack expire 90 days after purchase and are spent only after your monthly allowance is exhausted.
  • If your subscription ends, unused subscription credits are forfeited at the end of the period you have paid for.

5.Your content and the content you generate

Your inputs

You keep ownership of the prompts, images, and other material you submit ("Input"). You grant us a worldwide, non-exclusive, royalty-free licence to host, reproduce, transmit, and process your Input for the purpose of operating the Service — including transmitting it to the model providers described in section 3.

You confirm you have the rights necessary to submit your Input, including rights to any person's likeness or any third-party work it contains.

Your outputs

As between you and Currier Media, you own the media generated from your Input ("Output"), and on any paid plan you may use it commercially. Output generated using free signup credits is licensed for personal and evaluation use only.

We do not use your Input or Output to train models. We do not publish your generations. Media is private to your account unless you explicitly publish it to the community area, which you can undo at any time.

An honest limitation on ownership

The legal status of AI-generated material is unsettled in Canada and elsewhere. Copyright may not subsist in Output at all, and identical or similar Output may be generated for another user from a similar prompt. We therefore make no representation that Output is original, protectable, or free of third-party rights, and we cannot promise exclusivity in it. If Output matters commercially to you, take your own advice before relying on it.

6.Acceptable use

You must not use the Service to create, upload, or distribute content that:

  • sexualizes a minor in any way, or depicts child sexual abuse material — this results in immediate termination without refund and, where required, a report to the relevant authorities;
  • depicts a real, identifiable person in a sexual, intimate, or degrading manner without their consent, including intimate images distributed without consent;
  • impersonates a real person or organization, or is designed to deceive as to its authenticity, including fabricated statements by real people;
  • harasses, threatens, defames, or promotes violence, self-harm, or hatred against a person or group;
  • infringes another person's copyright, trademark, moral rights, privacy, or personality rights;
  • facilitates fraud, phishing, malware, or any unlawful activity;
  • violates the content policy of any model provider we rely on.

You must also not:

  • resell, sublicense, or provide the Service to third parties except as an authorized use on a Business plan;
  • attempt to circumvent credit metering, concurrency limits, rate limits, or content filters;
  • scrape the Service, or access it by automated means other than an interface we provide;
  • reverse engineer the Service, or use it to build a competing product;
  • interfere with the operation, security, or integrity of the Service.

7.Moderation and enforcement

We do not pre-screen generations, and we are not obliged to monitor them. We may, but need not, review content where we have reason to believe these Terms have been breached, or where we are required to by law or by a model provider.

Where we find a breach we may remove content, restrict features, suspend, or terminate an account. We will act proportionately and, except where a breach is serious or unlawful, will normally tell you what the problem is and give you a chance to resolve it.

Report a breach to abuse@vidmo.ai with enough detail to identify the content.

8.Plans, billing, and taxes

Paid plans are billed in advance, monthly or annually, through our payment processor Stripe. Prices are shown in US dollars and exclude applicable taxes, including GST and any provincial sales tax, which are calculated at checkout.

  • Subscriptions renew automatically at the then-current price until cancelled.
  • You may cancel at any time from billing settings. Cancellation takes effect at the end of the period you have already paid for; you keep access and remaining credits until then.
  • We may change prices on renewal with at least 30 days' notice. If you do not accept a price change, cancel before it takes effect.
  • If a payment fails, we may suspend access until it is resolved.

Refunds

  • We refund a subscription in full within 7 days of purchase if you have not spent credits from it.
  • Credit packs are refundable only if entirely unspent.
  • Credits consumed by successful generations are not refundable, because the underlying compute has been purchased and used.
  • Nothing in this section limits any right you have under the Business Practices and Consumer Protection Act (British Columbia) or other applicable consumer protection law.

9.Third-party services

The Service depends on third parties including Supabase (database, authentication, storage), Vercel (hosting), Stripe (payments), Resend (email), and the model providers named in section 3. Their terms govern their own services, and we are not responsible for their acts or omissions.

Links to third-party sites are provided for convenience and are not endorsements.

10.Intellectual property in the Service

The Service, including its software, interface, branding, and documentation, is owned by Currier Media and its licensors and is protected by Canadian and international intellectual property law. We grant you a limited, revocable, non-exclusive, non-transferable licence to use the Service in accordance with these Terms. All rights not expressly granted are reserved.

You may give us feedback, and if you do we may use it without restriction or obligation to you.

12.Availability

We aim to keep the Service available but do not promise uninterrupted operation. Generation depends on third-party capacity that may be slow, degraded, or unavailable. We may perform maintenance, and may suspend the Service where necessary to protect it or comply with law.

We do not offer a service level agreement on any self-serve plan. If a generation fails, your credits are returned — that is your remedy for a failed generation.

13.Disclaimers

Except as expressly stated in these Terms and to the fullest extent permitted by law, the Service is provided "as is" and "as available", and we disclaim all warranties, conditions, and representations, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, durability, title, and non-infringement.

We do not warrant that Output will be accurate, appropriate, original, or fit for any purpose. Generated media may be inaccurate, misleading, or offensive despite the filters applied by us and by model providers. You are responsible for reviewing Output before you use or publish it.

Some jurisdictions do not allow the exclusion of certain warranties or conditions. Where that applies, the exclusions in this section apply only to the extent permitted, and nothing here limits rights you have under applicable consumer protection legislation.

14.Limitation of liability

To the fullest extent permitted by law, Currier Media and its directors, officers, employees, and suppliers are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, or business opportunity, however caused and on any theory of liability, even if advised of the possibility.

Our total aggregate liability arising out of or relating to the Service is limited to the greater of (a) the amount you paid us in the twelve months before the event giving rise to the claim, and (b) one hundred Canadian dollars (CAD $100).

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded, including liability for fraud, for death or personal injury caused by negligence, or under applicable consumer protection legislation.

15.Indemnity

You agree to indemnify and hold harmless Currier Media and its directors, officers, and employees from claims, damages, losses, and reasonable legal costs arising from your Input, your Output, your use of the Service, or your breach of these Terms — except to the extent the claim arises from our own breach or negligence.

We will notify you of any such claim, allow you to control the defence with counsel of your choosing, and cooperate reasonably at your expense. You may not settle a claim in a way that imposes obligations on us without our written consent.

16.Suspension and termination

You may stop using the Service and delete your account at any time. Deleting your account removes your profile and generated media from our systems, subject to the retention described in our Privacy Policy.

We may suspend or terminate your account where you breach these Terms, where required by law, or where continuing to serve you would expose us or our providers to material risk. If we terminate your account other than for breach, we will refund the unused portion of any prepaid subscription.

Sections covering content ownership, disclaimers, limitation of liability, indemnity, and governing law survive termination.

17.Changes to these Terms

We may amend these Terms. For material changes we will give at least 30 days' notice by email or in the application before they take effect. Continuing to use the Service after that date means you accept the amended Terms. If you do not accept them, cancel before they take effect and we will refund the unused portion of your current period.

18.Governing law and disputes

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable there, without regard to conflict of laws rules.

You and Currier Media agree to the exclusive jurisdiction of the courts of British Columbia, sitting in Vancouver. If you are a consumer, this does not deprive you of the protection of mandatory provisions of the law of your place of residence, or of your right to bring proceedings there or to apply to a tribunal such as the BC Civil Resolution Tribunal.

19.General

  • Entire agreement. These Terms and the Privacy Policy are the whole agreement between us about the Service.
  • Severability. If a provision is unenforceable, the rest remains in force.
  • No waiver. Not enforcing a provision is not a waiver of it.
  • Assignment. You may not assign these Terms without our consent. We may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets.
  • Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control.
  • Language. These Terms are drawn up in English. *Les parties ont exigé que la présente convention soit rédigée en anglais.*
  • Notices. We contact you at the email address on your account. Contact us at legal@vidmo.ai or at the registered office in section 1.
